The all-news channel that NBC, in partnership with the Microsoft Corporation, plans to start next month has become entangled in a dispute between cable operators and the broadcast network. Several senior cable operators are threatening to balk at NBC's plans to distribute the new all-news channel in place of its current America's Talking channel. NBC is responding in kind, saying that any cable system that refuses to carry the news channel in place of America's Talking will face an immediate lawsuit, and, more ominously, will no longer get any programming from the top-rated broadcast network. That includes the 1996 Olympic Games from Atlanta, which begin only four days after the scheduled start of MSNBC.

The way Victor Ivancic, editor in chief of the Feral Tribune, sees it, his biggest problem is not the latest of 26 civil libel suits against him, this one for more than half a million dollars, or the charges that he defamed the President, which could land him in jail, or even losing almost all his advertisers, because, he says, the Government scared them away. "The worst thing," said Mr. Ivancic, 36, seated in his muggy, cramped office just a block from the Adriatic, "is that we are ruled by a man who doesn't have a sense of humor."

The ruckus-raising editor of an alternative weekly newspaper in the small northern California town of Boonville, Mr. Anderson has tested the limits of the First Amendment's guarantee of free speech before.

COMPANY NEWS;SIZZLER PLANS TO SEEK BANKRUPTCY PROTECTION

Sizzler International Inc. said yesterday that it was closing more than 130 of its company-operated Sizzler restaurants and filing for Chapter 11 bankruptcy protection. Sizzler also said it would close 6 Buffalo Ranch Steakhouse restaurants in the United States. The company said it would take a charge of $108.9 million, or $3.92 a share, for costs associated with the closings and related reorganization, which would result in an unspecified loss for the year that ended on April 29. Sizzler, which had 451 Sizzler restaurants worldwide, said it would still have 85 restaurants in the United States. The company said it would concentrate on its American Grill restaurants.

Adaptec Inc. agreed yesterday to buy the closely held Cogent Data Technologies Inc., a maker of computer networking equipment, for $68 million in stock. The acquisition would increase Adaptec's expertise in a technology called fast ethernet, which speeds up the transmission of computer information through small computer networks in corporate departments. Adaptec, based in Milpitas, Calif., makes electronic components for personal computer manufacturers. Adaptec's shares fell $1.875, to $58, in Nasdaq trading.

The Mobil Corporation said today that it was reorganizing its 3 worldwide divisions -- exploration and producing; marketing and refining, and chemical -- into 11 business groups. The new regional business groups will each report to an executive office headed by Lucio A. Noto, Mobil's chairman and chief executive. In North America, exploration and development will be split into two groups. Four regional business groups -- Africa and the Middle East; Asia and the Pacific; Europe and the Commonwealth of Independent States, and South America -- will combine exploration and production with refining and marketing, the company said. Four global business groups will cover chemicals; liquefied natural gas and independent power projects; new exploration and production, and supply, trading and transportation. One business group will focus on technology.

Zila Inc., based in Phoenix, plans to acquire the Biodental Technologies Corporation for as much as $45 million in stock, which would make Biodental, which sells dental products to dentists, the exclusive United States distributor of Zila's oral cancer test once regulators approve it, the companies said yesterday. Biodental shareholders would receive between 0.75 and 0.825 share of Zila common stock for each share of Biodental common stock. Based on Zila's closing price yesterday of $8.5625, up 31.25 cents, the purchase is valued at $41.1 million to $45.2 million. Shares of Biodental, based in Sacramento, Calif., rose $1.25 to $5.375 in Nasdaq trading.

COMPANY NEWS;BJ SERVICES INCREASES BID FOR NOWSCO WELL SERVICE

The BJ Services Company of Houston increased its bid yesterday for Nowsco Well Service Ltd. by 23 percent, to about $731.5 million (Canadian), or $534 million (United States). BJ Services and the Great Lakes Chemical Corporation, based in Lafayette, Ind., are both bidding for Nowsco, an oil services company in Calgary, Alberta. BJ Services' new bid, which is $35 (Canadian) a share, comes after Nowsco last month rejected a previous bid of $27 a share and opted instead for Great Lakes' offer of $30.90. Houston-based BJ Services also said today that it had asked Nowsco for access to the same confidential information provided to Great Lakes for more than two months. Nowsco shares rose $2, to close at $25.875 in Nasdaq trading.
