RJR NABISCO IS PLANNING AN EXCHANGE OF STOCK

Date: 21 June 1995

By Bloomberg News

Bloomberg News

The RJR Nabisco Holdings Corporation said yesterday that it planned to exchange as much as $1.23 billion of new securities for expensive preferred stock in an effort to reduce financing costs. In a filing with the Securities and Exchange Commission, the company said it planned to exchange trust-originated preferred securities for as many as 49 million of its preferred shares. The one-for-one exchange will be less expensive for RJR Nabisco because the trust-originated securities are debt securities that are counted as equity on the balance sheet, people familiar with the transaction said. Debt is less expensive than preferred shares for companies because interest payments on debt are pretax expenses and reduce taxable income. RJR Nabisco could pare about $10 million from its annual costs as a result of the exchange, analysts said.

The Fonar Corporation said yesterday that it had sued units of Siemens A.G. of Germany and Philips Electronics N.V. of the Netherlands, accusing them of infringing patents covering magnetic-resonance imaging technology. The suits, which were filed on Friday in Federal District Court in Hauppauge, L.I., follow Fonar's court victory last month in a patent case involving the General Electric Company. In that case, a Federal jury awarded $110.5 million to Fonar, a maker of M.R.I. machines based in Melville. L.I., after concluding that G.E. had infringed two patents. The court has not ruled yet on a motion by G.E. to overturn the verdict. Two of the four patents at issue in the latest suits are the same as those in the G.E. trial.
