F.C.C. Weighs Plan to Shrink Murdoch Role

The Federal Communications Commission is weighing a staff recommendation that would force Rupert Murdoch's News Corporation to reduce sharply its ownership stake in the stations that make up the core of the Fox television network. The recommendation, which if enacted could jolt Mr. Murdoch's media empire, was prepared by the agency's mass media bureau after months of investigation into whether the stations were foreign owned. It would require the News Corporation to reduce its stake in the eight television stations it now owns and also reduce its planned ownership stake in three other stations the company is in the process of acquiring.

ALL TOLD, HOW MANY PEOPLE HAVE DIED IN Bosnia? For news organizations and policy specialists, the easy answer is 200,000. As someone who has followed the conflict closely from the beginning in a professional capacity, I'm not convinced. Bosnia isn't the Holocaust or Rwanda; it's Lebanon. A relatively large number of white people have been killed in gruesome fashion in the first European blowup since World War II. In response, the United Nations has set up the first international war crimes trials since Nuremberg. But that doesn't mean the Bosnian Serbs' often brutal treatment of Bosnian Muslims is a unique genocide, as the United Nations and the Bosnian Muslims have charged.

COLUMBIA/HCA CLEARED ON TAKEOVER

The Columbia/HCA Healthcare Corporation's $3.3 billion acquisition of Healthtrust Inc. won antitrust clearance yesterday from the Federal Trade Commission, paving the way for the merger of the nation's two largest hospital chains on Monday. The agency will require the companies to sell seven hospitals in four states -- Florida, Louisiana, Texas and Utah. Without those divestitures, the F.T.C. said, the merger would have bolstered hospital prices and reduced services. The merger will create a health care giant with 320 hospitals in 36 states, and annual revenue of more than $15 billion. Columbia/HCA stock closed up $1.75, at $42, while Healthtrust shares advanced $1.875, to $37, on the Big Board.

B.A.T. Industries P.L.C. has named Nick Brookes as chief executive of the Brown & Williamson Tobacco Corporation, replacing Tommy Sandefur. B.A.T., based in London, said yesterday that Mr. Sandefur, 56, was retiring on May 1 for medical reasons after leading Brown & Williamson, the third-largest American cigarette company, for two years. Mr. Brookes has led new business development at B.A.T. and was previously chief executive for its cigarette exports from Britain.

ANADIGICS SHARES UP IN FIRST DAY OF TRADING

Shares of Anadigics Inc., which designs integrated circuits, closed up almost 22 percent in their first day of trading yesterday. The company, based in Warren, N.J., went public by selling 2.18 million shares in an initial public offering at $12 each, at the top of the estimated range of $10 to $12. Anadigics shares closed up $2.625, at $14.625, on Nasdaq trading of 1.82 million shares. Anadigics is a supplier of radio frequency and microwave frequency integrated circuits. Its products are used to receive and transmit signals in a variety of television and telecommunications systems.

ROUGE STEEL'S SHARES FALL ON EARNINGS DATA

Shares of the Rouge Steel Company fell 10 percent yesterday after its first-quarter earnings fell short of Wall Street's expectations, reflecting a decline in steel shipments and revenue. The company, which is based in Dearborn, Mich., and sells most of its steel to the automotive industry, said Thursday that its net income rose 38 percent, to $26 million, or $1.20 a share, from $18.9 million, or $1.16 a share, in the corresponding period a year earlier. Rouge Steel was expected to earn $1.34 a share, based on the average estimate of three analysts polled by Zacks Investment Research.

SAMSUNG EXTENDS BID TO BUY AST RESEARCH STOCK

The Samsung Electronics Company said yesterday that it had extended to June 1 its $128 million offer to buy 5.82 million shares of AST Research Inc., the computer maker based in Irvine, Calif. Samsung said the offer, which had been scheduled to end on Thursday, was extended because it was waiting for approval from the Korean Government and for other unspecified conditions to be met. Samsung began the offer on March 6. About 26 million shares of AST have been tendered, Samsung said. The needed shares will be acquired on a pro-rata basis, with Samsung purchasing a percentage of the offered blocks of shares. Samsung plans to acquire a 40.25 percent stake in AST for $378 million, which includes the tender offer and the purchase of newly issued shares for about $249 million.

Rig Count Up by 9

The United States rig count, a measure of oil and natural gas drilling activity, rose by 9, to 685, for the eight-day period ended Thursday, Baker Hughes Inc. said today. Rigs drilling for oil rose by 9, to 334, while rigs drilling for gas fell by 3, to 337. Rigs drilling for either commodity rose by 3, to 14. The rise in total rigs was the second in as many weeks after six weeks of decline.

Southwest Air Stock Climbs Despite Sharp Drop in Net
