10 Immigrant Journalists Slain in U.S. Since '81, Report Says

Ten immigrant journalists have been killed in the United States because of their reporting since 1981 but only two of the cases have been solved, a committee of American journalists said in a report yesterday. The Committee to Protect Journalists, a nonprofit organization that gets much of its money from large United States news organizations, labeled the killings assassinations and said they were "specifically intended to smother fact finding and silence dissent."

I.B.M. Makes Board Changes

ROCHESTER TELEPHONE TO BUY AMERICAN SHARECOM

The Rochester Telephone Corporation agreed yesterday to buy American Sharecom Inc. for about $193 million in stock. The company said it would issue 8.7 million shares of common stock to acquire American Sharecom, a closely held long-distance carrier based in Minneapolis with about $125 million in annual sales. Rochester Telephone, which began as the local phone company serving Rochester, is continuing its efforts to become a major national long-distance carrier. On Nov. 8, the company reached a definitive agreement to buy WCT Communications Inc., which has about $102 million in revenue.

Deal Is Set On American Brands Unit

American Brands Inc. will sell its insurance unit to the American General Corporation for $1.17 billion, the companies announced today. They disclosed earlier in the week that they were negotiating a sale. American General will buy the Franklin Life Insurance Company of Springfield, Ill., from American Brands. Analysts said American Brands, with assets of $45 billion, could afford both Franklin and Unitrin, a Chicago-based insurance company that is another planned acquisition, as long as the company did not take on too much debt. Unitrin's board has rejected American General's $2.6 billion offer as too low.

KODAK COMPLETES THE SALES OF TWO DIVISIONS

The Eastman Kodak Company has completed the sales of its L & F Products' do-it-yourself unit to Forstmann Little & Company for $700 million and its Clinical Diagnostics unit to Johnson & Johnson for $1.01 billion in cash. Both deals, announced this fall, closed on Wednesday. The sales almost end the Rochester-based photography company's seven-month drive to shed nonstrategic units. Kodak still seeks buyers for its Nanosystems technology development unit and its pharmaceutical research and development center in Philadelphia.

EMERSON ELECTRIC AGREES TO BUY CONTROL TECHNIQUES

The Emerson Electric Company, the world's largest maker of electric motors, said yesterday it had agreed to pay about $:96.2 million, or $150.7 million, for the 47.5 percent of Control Techniques P.L.C. that it doesn't already own. The merger would let Emerson Electric, of St. Louis, tap into the expertise of Control Techniques, a British electronics company, in variable-speed drive technology. Variable speed motors, frequently used in appliances like air conditioners and furnaces, are more energy-efficient than conventional motors. The purchase price is based on Emerson's offer of 525 pence a share. Control Techniques shares had traded at 385 pence on Nov. 4, the day before the companies said they were in talks.

FORD AND V.W. ENDING LATIN JOINT VENTURES

The Ford Motor Company and Volkswagen A.G. are ending a marriage of convenience that created Brazil's largest non-state-owned company and Argentina's second-largest car maker. "We believe that Ford will be better able to compete effectively in these two markets by operating on its own," W. Wayne Booker, an executive vice president of Ford's international operations, said. Autolatina Brasil S.A. and Autolatina Argentina S.A. were founded in 1987, when market conditions were poor, but Mr. Booker said those conditions had improved. Autolatina was 51 percent owned by Volkswagen, and 49 percent owned by Ford. The separation will be gradual, ending within a year, Ford said. Autolatina Brasil accounts for 47 percent of Brazilian car sales. Autolatina Argentina holds about 30 percent of Argentina's market.

PILLOWTEX BUYS BLANKET MAKER FOR $108 MILLION

The Pillowtex Corporation said yesterday that it had purchased the Beacon Manufacturing Company for $108 million. Pillowtex, based in Dallas, will pay $100 million in cash and assume $8 million in liabilities from Beacon, a blanket maker in Swannanoa, N.C. For the 12 months ended Sept. 30, Beacon recorded sales of $122 million. The acquisition will enhance Pillowtex's presence in the institutional and Canadian markets, Charles M. Hansen, the company's chairman and chief executive, said.

Computer Stocks Tumble Over Chip Flaw

Shares of computer companies tumbled yesterday because of concern about a flaw in the Intel Corporation's top-of-the-line Pentium chip. Although the flaw, which was disclosed last week, affects only complex mathematical calculations and will not affect most computer users, analysts said that Intel's poor public relations in handling the error could cost some computer makers that use the chip sales.
