Telephone and Data Systems Inc. of Chicago signed a definitive agreement yesterday to acquire the Vanlue Telephone Company. The terms were not disclosed. Vanlue Telephone, based in Findlay, Ohio, provides local telephone services and owns cellular telephone interests in two Ohio rural service areas. Telephone and Data Systems provides local, cellular and paging services. Telephone and Data Systems said Vanlue would complement its Arcadia Telephone Company division, which borders Vanlue Telephone.

INVESTORS SUE TO BLOCK DEAL FOR HADSON ENERGY

Shareholders of the Hadson Energy Resources Corporation have filed a lawsuit aimed at blocking the company's acquisition by the Apache Corporation. The lawsuit, filed in Delaware Chancery Court, contends that Hadson is worth far more than the $15 a share agreed on by the two companies last week. The lawsuit contends that the companies were incapable of unbiased negotiations because Apache owns 68 percent of Hadson. Apache is an oil and gas exploration company based in Houston. Hadson, based in Oklahoma City, has a market value of $90.4 million.

EASTERN ENTERPRISES SWAPS UNIT FOR U.S. FILTER STAKE

Eastern Enterprises of Weston, Mass., said yesterday that it had agreed to swap its Ionpure Technologies Corporation subsidiary for a 24 percent stake in the United States Filter Corporation. Under the terms of the agreement, Eastern would receive 2.25 million shares of United States Filter common stock and a small cash payment in exchange for the stake in United States Filter, a maker of water treatment equipment based in Palm Desert, Calif. The shares are worth about $50 million based on yesterday's closing price of $22.25 for United States Filter's common stock. Ionpure, with annual revenue of more than $55 million, provides water systems to commercial and industrial customers.

Health Net, the largest for-profit health maintenance organization in California, said yesterday that it had agreed to merge with Qual Med Inc., a Colorado-based H.M.O., in a deal that analysts valued at $500 million in stock plus $225 million in debt. Roger F. Greaves, chairman of HN Management Holdings Inc., Health Net's parent company, will share chief executive duties in the merged company with Dr. Malik M. Hasan, a London-trained neurologist from Pakistan who is Qual Med's chairman.

Vietnam chose a consortium led by Total S.A. to study the feasibility of building and operating the country's first oil refinery, with a capacity of about 130,000 barrels a day, the French oil company said today. Total has a 30 percent stake in the consortium. PetroVietnam owns 30 percent; the Chinese Petroleum Corporation of Taiwan owns 30 percent, and Chine Investment and Development, also from Taiwan, owns 10 percent.
