Health Care Services, based in Bala-Cynwyd, Pa., had been privately owned and family managed. The company earned about $1 million on $53 million in sales in the year ended March 31, 1987.

LEAD: The IU International Corporation disclosed today that it had paid $14.5 million in fees and expenses to a management group led by the Dean Witter Capital Corporation after the group's $21.50-a-share tender offer was terminated. The $650 million Dean Witter Capital offer was ended after the IU board withdrew its recommendation that shareholders tender their shares to the group, because of a $22-a-share bid by Neoax Inc.

The company said the offer was intended to increase the resale value of its cars, whose prices have been raised as a result of the weakening of the dollar.
