LEAD: The Boeing Company said it would build a new fabrication plant here to diversify its operations away from the company's base in Seattle. An airport-area site will be selected soon for the 230,000-square-foot plant that will initially employ about 350 persons, an official of Boeing's commercial airplanes unit said.

LEAD: The Cooper Companies said that Parker G. Montgomery had resigned as a director and that his term as president and chief operating officer had ended, effective immediately.
